Applicant’s Declaration

  1. The Applicant agrees with Allied Distribution Pty Ltd to the following terms and declares that the information on the Distributor Application is true.
  2. The Applicant agrees to use the contact information obtained by the Applicant to advance the marketing goals of K-Link Australia (AUS).
  3. The Applicant applies for appointment as a distributor for K-Link AUS and agrees that upon appointment the Applicant shall not be an employee, agent or legal representative for K-Link AUS or given any authority to speak for, contract or bind K-Link AUS or the Applicant’s sponsor(s) and will operate the distribution business by buying or selling K-Link AUS products at the distributors expense and the Applicant may sponsor others as K-Link AUS Distributors.
  4. The Applicant will not make claims, representations, or statements about K-Link AUS or its products other than that stated in K-Link AUS official literature and other publications.
  5. The Applicant will indemnify K-Link AUS against any legal liability arising out of any unauthorised claims, representations or statements made by the Applicant.
  6. The Applicant understands and expressly agrees with K-Link AUS that by completing the Distributor Application form the Applicant will be legally bound by and will abide by the K-Link AUS marketing plan including the Compensation Plan, and the K-Link AUS Rules and Regulations and any other terms and conditions published from time to time on the K-Link Australia/PNG website or elsewhere.
  7. The Applicant understands that the Distributorship may be revoked if the Applicant fails to comply with the terms and conditions stated in paragraph 6.
  8. The Applicant agrees to comply with the Laws governing multilevel marketing and direct sales in AUS.
  9. The Applicant agrees to receive advertisements and direct mail by SMS, email and post and any other medium in accordance with communication data provided by the Applicant.
  10. The Applicant is not bankrupt or a party to any arrangement or composition with any creditors, nor does the Applicant own any property or assets the subject of receivership or official management.

Rules & Regulations

The Rules and Regulations ( referred to as the "Rules") herein seek to spell out the rights, duties and obligations of registered distributors ("referred to as the "Distributor") of Allied Distribution Pty Ltd trading as K-Link Australia Distribution ("the Company") in the course of carrying out their business with the Company. The stipulated rules are also intended to promote understanding and harmony, not only between the Company and the Distributors but also among the Distributors themselves.

All Distributors are expected to abide by the Rules at all times and are therefore advised to familiarize themselves with these rules. Furthermore, the Distributors must also be informed that the Company has all the rights to terminate a Distributor who breaches the Rules or any term thereof. The Company also reserves the right to change or amend the Rules, wholly or partly, as and when the Company deems proper and necessary, including any Rules published on the Company's website.

Application for Distributorship

  • Any person who is at least 18 years of age, any duly registered partnership or firm, and any duly incorporated private limited company may apply to be a Distributor of the Company
  • .
  • All applicants for Distributor must be sponsored by an existing distributor of the Company.
  • An applicant for Distributor is required to complete and sign the Official Distributor Application Form and forward it to the Company with the prescribed registration fee.
  • A duly completed Application Form signifies the applicant's acceptance of all the terms of the Rules herein. The Company nonetheless has the sole prerogative whether to accept or reject the application.
  • A newly registered Distributor is required to attend the New Distributor Business Seminar which is regularly held by the Company
  • Upon registration a Starter Kit will be issued to the Distributor.

Distributor's Moral Code

A distributor must abide by the Rules and ethics that govern business with the Company and must not breach them and must commit to the following Distributors' Moral Code:
  • To be truthful and honest in all endeavours particularly in dealings with customer, co-distributors and the Company.
  • To strictly observe all the Rules and ethics enforced by the Company from time to time and not to breach them.
  • To preach and practise the Company's business culture and assist in realizing the Company's global goals.
  • To refrain from directly or indirectly misleading customers or verbally or non-verbally misrepresenting the Company and vending any of the Company products.
  • To properly behave at all times and not to commit any act which may put dignity of the Distributor or the Company's reputation to prejudice or ridicule.

Distributor's Business Account

  • The Distributor's membership is lifetime, and yearly renewal of membership is not necessary.
  • A registered Distributor shall be assigned a Distributor Code which must be used in all transactions relating to K-Link Australia products.
  • The Company strictly prohibits double distributorship or double registration. A Distributor must maintain only one (1) Business Account with the Company. The Company may terminate or cancel any other account found to be operated by the Distributor aside from the Distributor's first registration.

Husband and Wife Distributors

  • The spouse of a Distributor is eligible to be a Distributor of the Company provided that he/she is sponsored by the husband/wife himself/herself and is not a member of any other networking company.
  • In operating their distributorship, "husband and wife" Distributors may either (i) combine their operations and operate as a Single Distributor or (ii) maintain a separate distributorship and have separate down lines.

Affiliation with other MLM Companies

  • All registered Distributors are prohibited from joining or signing-up as a member of other MLM companies or business of similar nature or in conflict with the practices being carried out by the Company.
  • An existing member of other MLM companies whether a direct competitor or non-competitors may be allowed to join the Company as a Distributor provided that engagement in the business with the previous MLM Company ceases immediately. Furthermore, the Company reserves the right to apply an appropriate sanction if the Distributor has committed any breach of the Rules or an act which is in conflict with or detrimental to the Company's interest.

Promoting and Selling the Product as Distributor

  • Every distributor must be actively involved in the promotion and sale of the Company's products.
  • A distributor must be honest in promoting the Company's products and Marketing Plan and develop a network of distributors in accordance with the requirements of the Company's Marketing Plan.
  • In making a presentation of the Company's product, the Distributor must explain to the customer all the instructions and cautions relating to product usage as specified in the product labels or literature.
  • A distributor must not misquote, misinterpret or misrepresent the quality or performance of the Company's products. A distributor is only allowed to make claims that are indicated in the published Company's official product literature and other publications. The Distributor agrees to indemnify the Company in respect of any costs or expenses arising from any misquotation, misinterpretation, misrepresentation or undue claim as the case may be.
  • A distributor must not introduce any of the Company's products as a medicine that could cure a disease.
  • No distributor is allowed to sell products whose shelf life has already expired.

Other Duties & Responsibilities of a Distributor

  • A Distributor is not an employee, agent or representative of the Company. Hence, a Distributor must represent himself as an independent Distributor and must not claim to be an employee, agent or representative of the Company or K-Link Australia.
  • A Distributor must not entice or encourage a down line from another group, or the spouse of such down line to join one's own group.
  • A Distributor must record its financial transactions and comply with all Laws regarding taxation.
  • A Distributor must not engage in stockpiling of K-Link Australia products. Prior to purchasing the company's product the distributor must certify that at least seventy percent (70%) of all products purchased previously have been sold or consumed and that the distributor has sold to retail customers. This is known as the "Seventy Percent Rule". A breach of the Seventy Percent Rule entitles the company to recover any Commissions for any period of time during which the Seventy Percent Rule has been breached.
  • A distributor is not authorized to enter into any agreement or make an offer of settlement involving the Company to settle any complaint regarding the use or misuse of the Company's products.
  • A distributor must issue and deliver a customer's receipt whenever a sale transaction of the Company's product is successfully concluded.
  • The Company reserves the right to accept or reject applications for Distributorship at its sole discretion without having to assign any reason for its acceptance or rejection. Upon acceptance, the Distributor shall operate as an independent contractor and not as a partner or employee of either a Distributor sponsor or of the Company.
  • The Distributor's distributorship may be terminated if any of the information given or representations made in the Distributorship application are false or if the distributor fails to comply with the terms of the Rules. The distributor acknowledges that the Rules may be amended from time to time and notice of these amendments will be published.
  • The distributor understands that Business Support Materials such as books, magazines, audio and video tapes, or tickets to motivational or business-building seminars and rallies may be available for purchase and the purchaser understands that the purchaser of such products may be optional.
  • Title to any goods purchased must remain with the Company until all payments have been made.
  • Notification of Default: Given that any non payment or return of product will have an effect within the line of sponsorship the Company reserves the right to notify the Distributor's up-line that a default has occurred and that PV/BV will be deducted from the line of sponsorship.
  • The Distributor agrees to rebate the supplier for any GST payable by the supplier if there are any taxable supplies, and to otherwise comply with all legislation in Australia and New Zealand relating to Goods and Services tax.
  • Cancellation/Returns/Refunds: any cancellation or return of any product other than for exchange or quality purposes will be subject to deduction of five percent freight and five percent handling charges, possible recovery of bonuses or other commission payments, and rework of BV through the line of sponsorship.


  • A Distributor may sponsor people from other countries where K-Link Australia branches and master stockists exist or in countries where MLM business is allowed and recognized by their law.
  • All information entered in the Official Distributor Application Form signed by the Distributor including the Sponsor's Information is considered final and official.
  • A Distributor is not allowed to change sponsor, and the Company will not entertain or accept any request for change of sponsor.
  • In case a Distributor is sponsored by more than one sponsor and a dispute arises, the sponsor who first submits the Official Application Form shall be regarded as the legitimate and official sponsor.
  • With reference to number four (4), wherein the submission of the two Official Application Forms was made on the same day, and it was not determined as to whose application was submitted first, the Sponsor whose application was registered first as per Members Data System shall be regarded as the legitimate sponsor.

Sale/Transfer of Distributorship

  • The Company does not encourage any sale or transfer of distributorship. A Distributor who wishes to undertake such action must strictly observe the following guidelines.
  • Only a Distributor who has reached the Diamond Manager Rank and above and has maintained a good record with the Company may apply for a sale or transfer of his distributorship.
  • An application to sell or transfer a distributorship must be made in writing and must be submitted to the Company, further, the Company reserves the right to approve or reject such application.
  • A sale or transfer of distributorship is governed by the following order of preference: First Priority: The direct Sponsor of the Distributor Second Priority: The uplines of the Distributor with those nearest to the Distributor gets the higher priority Third Priority: Any downlink of the Distributor who has at least reached the Manager Rank Fourth Priority: Any distributor of the Company who have reached the Manager Rank and above.
  • A duly approved distributorship sale or transfer must undergo proper sale procedure and must be supported by a purchase agreement signed by both parties concerned. A copy of the agreement must be provided to the Company.

Termination/Cancellation/Death of Distributor

  • A Distributor shall remain a qualified Distributor provided the minimum sale targets stipulated from time to time by the Company are achieved. However, the Company reserves the right to terminate any distributorship if a Distributor is found to breach or infringe any of the Rules.
  • A distributorship will be automatically cancelled if the Distributor fails to purchase the minimum sales referred to in the previous paragraph.
  • A Distributor wishing to self-terminate or resign Distributorship must submit a letter of intention to the Company. All downlines of the resigned distributor will be automatically transferred to the Distributor's Sponsor.
  • Subsequent to any self termination by a Distributor, a Distributor must wait for a period of six months before reapplying to be a distributor. The Company reserves the right to accept and reject this reapplication.
  • Upon any termination of distributorship, a Distributor automatically shall lose all rights to any privileges, benefits or bonuses to which there was previous entitlement.
  • A Distributor who has successfully re-applied as a member again, shall start anew and must develop and operate a new network of down lines and must not directly or indirectly encourage or entice former down lines to join the new network.
  • A Distributor who has become incapacitated and desires to continue with the business may assign privileges to a beneficiary while the old account is still active by submitting an authorization letter to the Company. On the other hand, the benefits, bonuses and privileges of a deceased Distributor will not lapse and instead may be passed on to the deceased's legal heir or beneficiary, and the latter must inform the Company by submitting a letter with the attached Death Certificate of the Distributor.
